# Rental Terms

These general terms and conditions (“Terms”) apply to all rental agreements entered into between DREAM CRAZY BIG AB, org.nr 559396-5774, VAT no. SE559396577401, of Nikolaigatan 10, 702 10 Örebro, Sweden (“Lessor”, “we”, “us”) and the customer (“Lessee”, “you”).

By confirming a booking, the Lessee agrees to be bound by these Terms. These Terms apply to business customers (Lessees acting in a professional/trade capacity); see Section 12 for bookings involving private consumers.

## 1. Definitions

**Rental:** The rental of audiovisual equipment. Delivery or self pick-up is agreed per booking and stated in the order confirmation.

**Equipment:** All audiovisual gear, cables, flight cases, mounts, and accessories listed in the rental agreement.

**Rental Period:** The specific time frame during which the Lessee is authorized to possess and use the Equipment, starting from delivery/pick-up and ending upon the scheduled return.

**Optional Standby Support:** An optional service where a support technician is made available on standby at a fixed daily rate to assist with troubleshooting or technical needs during the event.

**EU Cross-Border Rental:** A Rental where the Lessee is established, or the Equipment is used, outside Sweden but within the European Union.

## 2. Booking and Cancellation

Bookings are considered confirmed only upon written acknowledgment (e.g., via email) from the Lessor. In the event of a cancellation by the Lessee, the following fee structure applies:

**Notice Period Prior to Rental Start**Cancellation Fee More than 5 days0% (Free Cancellation) 48 hours to 5 days30% of the total rental fee Less than 48 hours100% of the total rental fee

For large productions, the Lessor and Lessee may agree in writing, in the order confirmation, to an extended cancellation schedule (e.g. 14/7/2 days) instead of the table above.

## 3. Rental Rates, VAT and Period

The rental fee is calculated based on the agreed Rental Period and is quoted exclusive of VAT unless stated otherwise. Swedish VAT (currently 25%) is added for Lessees established in Sweden. For Lessees established in another EU member state who provide a valid EU VAT identification number, the reverse-charge mechanism applies (Council Directive 2006/112/EC, Art. 44): the Lessee self-accounts for VAT in its own member state and the invoice is issued net of VAT with a reference to the reverse charge. For Lessees outside the EU, VAT treatment follows applicable export/service rules at the time of invoicing. If the Equipment is held beyond the agreed pickup time due to delays caused by the Lessee, a late fee equivalent to 1.5 times the standard daily rental rate will be charged for each commenced 24-hour period.

## 4. Delivery and Inspection

**Delivery or Self Pick-up:** The delivery/collection method is agreed per booking and stated in the order confirmation. Where the Lessee or its representative picks up Equipment in person, they must be able to identify themselves with a passport or other government-issued photo ID; the Lessor may refuse handover absent valid identification.

**Inspection:** The Lessee must inspect the Equipment immediately upon receipt. Any defects, missing cables, or damages must be reported to the Lessor within 2 hours of the delivery drop-off.

**Return Preparation:** Equipment must be ready for pickup at the scheduled end time in the exact same condition it was provided—clean, properly coiled, and packed in the original flight cases. A repacking fee will apply for equipment returned disorganized.

## 5. Use of Equipment

The Lessee agrees to use the Equipment carefully, following all manufacturer instructions. The Equipment must only be operated by competent personnel, and the Lessee is responsible for ensuring its own staff have sufficient knowledge of the Equipment to avoid misuse. If the Lessee has opted for the Optional Standby Support, our technician will be available to assist. The Lessee may not alter, modify, or repair the Equipment. Sub-renting the Equipment to third parties is strictly prohibited without prior written consent from the Lessor.

## 6. Ownership, Risk and Insurance

All Equipment remains the sole property of the Lessor at all times. The Lessee obtains only a non-exclusive right to use the Equipment for the duration of the Rental Period. From the moment the Equipment is delivered/picked up until it is returned to and accepted by the Lessor, the Lessee assumes all risks of loss, theft, or damage.

**Insurance:** For bookings exceeding a value threshold set by the Lessor, or otherwise at the Lessor’s discretion, the Lessor may require the Lessee to provide written evidence of the required insurance cover prior to delivery or pick-up, and may withhold delivery until such evidence is provided.

## 7. Liability for Damage and Loss

**Damages:** In case of damage, the Lessee will be liable for the full repair cost, or the full replacement cost if the item is unrepairable, as well as any lost rental income while the item is out of service. Theft must be reported to the Lessor immediately, and a police report must be filed and a copy provided to the Lessor.

**Limitation of Lessor’s Liability:** The Lessor’s total liability towards the Lessee under this agreement is limited to the total rental fee paid for the affected booking, and excludes indirect or consequential loss (including loss of profit, revenue, or goodwill), except in cases of gross negligence or willful misconduct by the Lessor.

## 8. Force Majeure

Neither party is liable for delay or non-performance caused by circumstances beyond its reasonable control, including strikes and other labour disputes, war, mobilization, requisition, currency restrictions, government action, riots or civil unrest, epidemic or pandemic, natural disaster, or general shortage of transport, goods, or energy, or delay/default by sub-contractors caused by the above. The affected party shall notify the other without undue delay. If the event continues for more than 30 days, either party may terminate the affected booking without further liability beyond costs already incurred.

## 9. Termination for Cause

The Lessor may terminate a rental agreement with immediate effect and reclaim the Equipment at the Lessee’s cost if: the Lessee is more than 15 days late on any payment; the Lessee is subject to bankruptcy, insolvency, or comparable proceedings; the Equipment is subject to abnormal wear, misuse, or a significant loss of market value; or the Lessee otherwise breaches these Terms in a way that is not of minor significance.

## 10. Payment Terms

Unless the Lessor has expressly granted credit terms in writing, payment is due in full at the time of booking confirmation via the Lessor’s booking platform. Where credit terms have been granted, invoices are payable within 14 days net.

## 11. Data Protection

The Lessor processes personal data (e.g., contact details, billing information, and identification checked at pick-up) in accordance with applicable data protection law, including the General Data Protection Regulation (EU) 2016/679, and the Lessor’s privacy policy. Data is retained only for as long as necessary for the performance of the agreement and applicable accounting/record-keeping law.

## 12. Consumer Customers

If the Lessor contracts directly with private individuals acting outside their trade, business, craft or profession (“Consumers”), whether in Sweden or elsewhere in the EU, these Terms do not apply as-is and additional mandatory rules apply, including a 14-day statutory right of withdrawal for distance/off-premises contracts under the EU Consumer Rights Directive (2011/83/EU) as implemented locally (in Sweden, distansavtalslagen), unless the Consumer has expressly requested performance to begin before the withdrawal period ends and acknowledges in writing that they lose the right of withdrawal once performance is complete. A choice of Swedish law and Stockholm as exclusive venue (Section 13) cannot deprive a Consumer of the mandatory protections of, or the right to sue in, their own country of habitual residence (Rome I Art. 6; Brussels Ia Art. 17-19). A separate, lawyer-reviewed consumer version of these Terms should be used for bookings with Consumers.

## 13. Governing Law and Disputes

For business (B2B) Lessees, these Terms shall be governed by and construed in accordance with the laws of Sweden. Disputes relating to payment of invoiced rentals and related fees or charges shall be finally settled by the competent courts of Sweden, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance; straightforward debt-collection matters may be pursued via the Swedish Enforcement Authority (Kronofogdemyndigheten). For higher-value or more complex disputes, the parties may agree in the order confirmation to instead resolve the dispute by arbitration or mediation administered by the Arbitration Institute of the Stockholm Chamber of Commerce. This clause does not override the consumer-protection rules referenced in Section 12.

## 14. Language

These Terms are drafted in English for international/EU use. A Swedish-language version is available on request; in case of any conflict, the Swedish-language version shall prevail for Lessees domiciled in Sweden.
